("SayHired") AND THE EMPLOYMENT, HIRING AND OTHER SAYHIRED SERVICES PROVIDED THROUGH THE SITE (THE "SERVICES") AND ARE LEGALLY BINDING ON YOU. The SayHired Content is protected under both United States and foreign copyright, trademark and other laws, and is the property of SayHired or its content suppliers. Except as expressly stated herein, you acknowledge that you have no right, title, or interest in or to the SayHired Content on any legal basis. SayHired authorizes you to view and access a single copy of the content available on or from SayHired.com solely for your personal use. Unauthorized use of the SayHired Content may violate these laws, and is strictly prohibited. Employers are solely responsible for their postings on SayHired Sites. SayHired is not to be considered to be an employer with respect to your use of any SayHired Site and SayHired shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on any SayHired Site.

The Site may provide links to other external web sites. We do not have control over such sites, and by clicking on such links, you acknowledge that SayHired is not responsible for the content or policies of, or your experience at such external web sites.

You are prohibited from taking any action to circumvent or attempt to circumvent the security and access control provisions of the Site and the Services. Such prohibited conduct includes, without limitation, performing or attempting to perform the following activities: (a) logging in to an account with a password not assigned to you, (b) accessing personally identifiable information not intended for you, (c) testing the security measures on the Site and/or attempting to identify system vulnerabilities, (d) impersonating any other user of the Site and/or the Services or forging or tampering with the header information in an email or posting, or the TCP/IP packet header, (e) modifing, reverse-engineering, disassembling, decompiling or otherwise attempting or allowing others to attempt to discover the underlying computer code for the Site and/or the Services, or (f) overloading or disabling the Site or the Services or interfering with the access and use of the Site and/or the Services by any other user. Without limiting the generality of foregoing, you acknowledge that SayHired expressly prohibits and you agree not to use the Services and/or the Site to violate any applicable law or regulation, including, without limitation, the infringement of any copyright, trademark, trade secret or other intellectual property right of others, or violate the privacy rights of any other person.

The content and the Services provided through SayHired may be used only for the lawful purposes by individual seeking information about SayHired's services, employers seeking employees, and individuals seeking employment. The following uses of SayHired.com are specifically prohibited and you agree not to do any of the following: (a) submit any false, imcomplete, or misleading information about your identity or your employer to SayHired; (b) use any job candidate's information provided to you by SayHired for any purpose other than as an employer seeking employees, including but not limited to using such information to sell or promote any products or services, or make any unsolicited contact through mail, email, fax, or phone calls; (c) solicit through SayHired for any illegal activities as guided by SayHired's and your own jurisdictions; (d) take any action that imposes an unreasonable burden on the Site's infrastructure.

Prior to gaining access to certain Services on the Site, SayHired may require you to create an account and provide SayHired with certain information, including a password (the "Password") as set forth in the account registration procedures posted on the Site. You agree to assume sole responsibility for the confidentiality and security of Password issued to you. You agree to inform SayHired immediately in writing of any actual or potential unauthorized access to a Password or to the Site and/or Services. The access and usage of the accounts and continued service by SayHired are subject to cancellation or suspension by SayHired at any time, including upon the misuse of any Passwords. The information which you provide to SayHired is guided by our Privacy Policy.

We welcome your feedback and comments regarding our Site and Services. Please be advised, however, should you choose to submit to SayHired any suggestions, materials, creative ideas, concepts, or inventions, such submission shall be the property of SayHired. We shall not be liable for any use or disclosure of such submission and shall be entitled to unrestricted use of the submission for any purpose whatsoever, commercial or otherwise, without compensation to you or any other person.

While SayHired will attempt to determine the best fit of the job seeker to the potential employer, SayHired shall be in no way liable for the safety, accuracy, or legality of the resumes or job opportunities. While SayHired reserves the right in its sole discretion from time to time to investigate, suspend, or remove offending content or user account, SayHired does not assume any obligation to do so and disclaims any liability for failing to take any such action. In addition, you assume all risks associated with dealing with other persons or companies with whom you come in contact through the use of SayHired. You agree to release SayHired and its agents and employees from any claims, demands and damages, actual and consequential and direct and indirect, of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such contacts. SayHired cannot guarantee and does not promise any specific results from the use of SayHired and its Services. No advice or information, whether oral or written, obtained from SayHired and its agents, shall create any warranty not expressly stated herein.

In no event shall SayHired be liable for any damages whatsoever, including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption, resulting from the use or inability to use SayHired Site, the SayHired Content or Services, whether based on warranty, contract, tort, or any other legal theory, and whether or not SayHired is advised of the possibility of such damages.

These Terms constitute a binding agreement between you and SayHired, Inc., and is accepted by you upon your use of the SayHired Site.
